Affiliate Program Terms and Conditions

1. Definitions

• "Company," "we," "us," "our" refers to Wondel.ai sp. z o.o., the operator of Developer Toolkit
• "Affiliate," "you," "your" refers to the individual or entity participating in the Affiliate Program
• "Customer" refers to end users who purchase subscriptions through your affiliate links
• "Affiliate Program" means this referral program operated by the Company
• "Affiliate Link" means your unique tracking link provided at https://developertoolkit.affonso.io/
• "Commission" means the compensation paid to you for qualified referrals
• "Qualified Purchase" means a completed, non-refunded subscription purchase made through your affiliate link

2. Eligibility and Application

2.1 Eligibility Requirements

To participate in the Affiliate Program, you must:

• Be at least 18 years of age or the age of majority in your jurisdiction
• Have a valid PayPal account for commission payments
• Comply with all applicable laws and regulations in your jurisdiction
• Not be located in a country subject to U.S. or EU sanctions
• Maintain ethical marketing practices and professional standards

Applications are processed through our affiliate platform at https://developertoolkit.affonso.io/. We reserve the right to accept or reject any application at our sole discretion.

6. Intellectual Property Rights

6.1 Limited License

We grant you a limited, non-exclusive, revocable license to use our approved marketing materials, logos, and trademarks solely for promoting Developer Toolkit through the Affiliate Program.

6.2 Ownership

• We retain all rights to our intellectual property
• Content you create using our materials remains our intellectual property
• You grant us a license to use your promotional content for our marketing
• You must remove all our materials upon termination

7. Relationship of Parties

You and the Company are independent contractors. This Agreement does not create an employer-employee, agency, partnership, or joint venture relationship. You have no authority to bind the Company to any obligation.

8. Data Protection and Privacy

8.1 Data Processing

• Both parties will comply with applicable data protection laws including GDPR
• You must have a privacy policy if collecting personal data
• You cannot collect or store customer payment information
• Customer data obtained through the program must be kept confidential

8.2 Cookies and Tracking

You must comply with cookie laws and obtain necessary consents when using tracking technologies on your websites or in your marketing campaigns.

9. Term and Termination

9.1 Term

This Agreement begins upon your acceptance into the Affiliate Program and continues until terminated by either party.

• Either party may terminate this Agreement at any time with 30 days written notice
• We may terminate immediately for violation of these terms
• We may terminate immediately for fraudulent or illegal activity
• Upon termination, all unpaid commissions meeting the payment threshold will be paid in the next payment cycle

9.3 Effect of Termination

• You must immediately cease all promotional activities
• Remove all affiliate links and our materials from your properties
• Return or destroy any confidential information
• Commissions from existing customers continue for 12 months post-termination

10. Warranties and Representations

You represent and warrant that:

• You have the legal capacity to enter into this Agreement
• Your participation will not violate any other agreements
• Your promotional activities will comply with all applicable laws
• You will not engage in any fraudulent, deceptive, or illegal practices
• Your websites and content do not contain offensive or inappropriate material

11. Indemnification

You agree to indemnify, defend, and hold harmless the Company, its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including legal fees) arising from:

• Your breach of this Agreement
• Your violation of any laws or regulations
• Your promotional activities and content
• Any claims of intellectual property infringement
• Your negligence or willful misconduct

12. Limitation of Liability

13. Modifications to Terms

We reserve the right to modify these terms at any time. Changes will be communicated via email to your registered address. Continued participation after notification constitutes acceptance of the modified terms.

14. Dispute Resolution

14.1 Informal Resolution

Before initiating formal proceedings, both parties agree to attempt to resolve disputes informally through good faith negotiations for at least 30 days.

14.2 Governing Law

This Agreement is governed by the laws of Poland, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Warsaw, Poland.

15. Miscellaneous

15.1 Entire Agreement

This Agreement constitutes the entire agreement between the parties regarding the Affiliate Program and supersedes all prior agreements and understandings.

15.2 Severability

If any provision is found to be unenforceable, the remaining provisions will continue in full force and effect.

15.3 Waiver

No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.

15.4 Assignment

You may not assign or transfer this Agreement without our prior written consent. We may assign this Agreement at any time without notice.
